Corporate Governance of Suning
Suning.com strictly follows Chinese laws and China Securities Regulatory Commission’s regulations,
continuously improving company governance structure. Based on laws, our company has established
shareholders’ meeting, board of directors, and board of supervisors and completed Code of
Shareholders’ Meeting, Code of Board of directors，and a series of other internal codes to normalize
behaviors and working process of board of directors, board of supervisors and senior management. In
addition, our company also established remuneration committee, nomination committee, strategy
committee, and audit committee, to ensure the effective governance of the senior management teams.

Chinese nationality, born in 1964, Han nationality, doctor degree. Professor of School of engineering management, doctoral supervisor of management science and engineering, Dean of Department of management science and engineering, and master supervisor of operation research and Cybernetics in the Department of mathematics. Currently, he is a member of production and operations management society, a member of China operation research society, a member of production and operation management sub committee and a member of China management society Executive director of random service and operation management branch of China Operations Research Association and editorial board member of operations research and management magazine. Independent director of the company.
